Terms of Service

1. Service description

AmDitalprovides a business operating platform that includes CRM, project management, HRMS, finance, document management, AI automation (powered by our assistant “Ami”), team communications, and related features (collectively, the “Service”). The Service is provided on a subscription basis via our web application and, where applicable, via API access.

2. Eligibility and accounts

You must be at least 18 years old and have the authority to bind your organisation to these Terms. By accepting these Terms on behalf of a company or legal entity, you represent and warrant you have that authority.

You are responsible for maintaining the security of your account credentials. You must notify us immediately at legal@amdital.com if you suspect unauthorised access.

3. Acceptable use

You agree not to use the Service to:

• Violate any applicable laws or regulations, including data protection laws.
• Upload, transmit, or store content that is illegal, harmful, defamatory, or infringes third-party intellectual property rights.
• Conduct automated attacks, scraping, or denial-of-service actions against the Service or its infrastructure.
• Reverse engineer, decompile, or attempt to extract source code from the Service.
• Use the Service to send unsolicited commercial communications (“spam”).
• Impersonate any person or entity or misrepresent your affiliation with any person or entity.
• Circumvent, disable, or interfere with security features of the Service.
• Use the AI features (Ami) to generate content that is harmful, misleading, or otherwise violates these Terms or applicable law.

We reserve the right to suspend or terminate access for any violation of this section without prior notice.

4. Subscription, billing, and payment

The Service is offered under subscription plans described on our pricing page. Subscriptions are billed in advance on a monthly or annual basis. All payments are processed by Stripe. By providing your payment details, you authorise us to charge the applicable fees via Stripe.

All fees are exclusive of applicable taxes (VAT, GST, sales tax) which will be added where required by law. Fees are non-refundable except as expressly provided in these Terms or as required by applicable consumer protection law.

If a payment fails, we will notify you and attempt re-billing. After 7 days of non-payment we may suspend access to the Service. After 30 days, we may terminate the account.

5. Data ownership and processing

Your data belongs to you.All workspace data you create, upload, or import into the Service (“Customer Data”) remains your property.AmDital acts as a data processor on your behalf and will process your Customer Data only as necessary to provide the Service and as described in our Privacy Policy and Data Processing Agreement.

We will not access your Customer Data except as required to provide support at your request, to comply with a legal obligation, or to protect the security of the platform. We will not sell or share your Customer Data with third parties for their own purposes.

6. Intellectual property

AmDital and its licensors own all intellectual property rights in the Service, including the software, design, trademarks, and documentation. These Terms do not grant you any rights to the AmDital name, logo, or other brand features.

You grant AmDital a non-exclusive, worldwide, royalty-free licence to host, store, transmit, and display your Customer Data solely as required to provide the Service.

7. Confidentiality

Each party agrees to keep confidential the other party's non-public information that is designated as confidential or that reasonably should be understood to be confidential (“Confidential Information”). The receiving party will use Confidential Information only to exercise its rights and fulfil its obligations under these Terms.

8. Warranties and disclaimers

The Service is provided “as is” and “as available”.AmDital makes no warranties — express, implied, or statutory — including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components.

The AI features (Ami) are provided for informational and productivity purposes only. Ami's outputs do not constitute legal, financial, medical, or professional advice. You are solely responsible for decisions made based on Ami's outputs.

9. Limitation of liability

To the maximum extent permitted by applicable law, AmDital's total cumulative liability to you for any claims arising under or related to these Terms will not exceed the greater of: (a) the amounts you paid to AmDital in the 12 months preceding the claim, or (b) £100 GBP.

In no event will either party be liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, revenue, data, or business opportunities, even if advised of the possibility of such damages. These exclusions apply to the maximum extent permitted by law and do not apply to liability that cannot be excluded under applicable law.

10. Termination and data export

You may terminate your subscription at any time. Upon termination:

• Your subscription will remain active until the end of the current billing period.
• You have 30 days from the effective date of cancellation to export your Customer Data via the workspace data export feature (Settings → Export data).
• After 30 days, Customer Data will be permanently deleted from our systems.

We may terminate or suspend your access immediately if you breach these Terms or if we are required to do so by law. We will endeavour to give reasonable notice where possible.

11. Changes to the Service and Terms

We may modify these Terms at any time. We will give at least 14 days' notice of material changes via email or in-app notification. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.

We may also change, suspend, or discontinue features of the Service. We will give reasonable notice of significant changes.

12. Governing law and disputes

These Terms are governed by and construed in accordance with the laws of England and Wales (note: this jurisdiction should be reviewed by qualified legal counsel before going live with paying customers). Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
